The Audit Committee of the Board of Directors of Sigmatron International, Inc. (the "Company") recommended and approved the decision to change the Company's independent accountants. On March 15, 2006, the Company dismissed Grant Thornton LLP as its independent registered public accounting firm. The Audit Committee has identified and is in the process of engaging a successor independent registered public accounting firm. The audit reports of Grant Thornton LLP on the Company's consolidated financial statements for the fiscal years ended April 30, 2005 and 2004 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope, or accounting principles. In connection with the audit of the consolidated financial statements of the Company for the fiscal years ended April 30, 2005 and 2004 and through the date hereof, there were no disagreements with Grant Thornton LLP on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to Grant Thornton LLP's satisfaction, would have caused Grant Thornton LLP to make a reference to the subject matter of the disagreements in connection with its reports. During the fiscal years ended April 30, 2005 and 2004, and during the subsequent interim period through the date hereof, there have been no "reportable events", as defined in Item 304(a)(l)(v) of Regulation S-K. The Company has provided Grant Thornton LLP with a copy of this report and has requested that Grant Thornton LLP furnish it a letter addressed to the Securities and Exchange Commission stating whether it agrees with the above statements.
