On August 19, 2004, Andrew U. Ferrari, a director of Trex Company, Inc. (the “Company”), entered into a sales plan pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, pursuant to which he may sell shares of the Company’s Common Stock. Under the Rule 10b5-1 sales plans, Mr. Ferrari may sell up to 510,000 shares of Common Stock through August 17, 2005.
