On September 8, 2000, Registrant registered on Form S-8 (No. 333-45436) an additional (i) 2,000,000 shares to be issued under the 1995 Stock Option Plan and (ii) 420,000 shares to be issued under the Non-Employee Directors Stock Option Plan. Pursuant to Instruction E on Form S-8, an additional (i) 3,000,000 shares are being registered herein to be issued pursuant to the 1995 Stock Option Plan, and (ii) an additional 300,000 shares are being registered herein to be issued pursuant to the Non-Employee Directors Stock Option Plan.
