Item 8.01 Other Events.

On July 2, 2008, Lattice Semiconductor Corporation (“Lattice”) completed the purchase of $40,000,000 in principal amount of its Zero Coupon Convertible Subordinated Notes due July 1, 2010 (the “Notes”), in accordance with the provisions of the Indenture dated as of June 20, 2003 by and between Lattice and U.S. Bank National Association as Trustee, relating to the Notes. The Notes were purchased pursuant to the exercise by the noteholders of their repurchase rights. Based on these purchases, no such Notes remain outstanding.
