On March 8, 2010, Boise Inc., issued a press release announcing that its wholly owned subsidiaries, Boise Paper Holdings, L.L.C. and Boise Co-Issuer Company (together, the “Issuers”), are proposing to issue Senior Notes due 2020 (the “Notes”), in a private offering that is exempt from registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The Issuers intend to offer the Notes within the United States to qualified institutional buyers in accordance with Rule 144A, and outside the United States in accordance with Regulation S of the Securities Act. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference. For additional information, please refer to the Exhibit 99.1.
