On May 25, 2011, the Company filed a Current Report on Form 8-K (the “Original Report”) to report under Item 5.02 that effective July 20, 2011, the Board of Directors of the Company elected Susan K. Carter to the Board of Directors. The Original Report is hereby amended pursuant to Instruction 2 to Item 5.02 of Form 8-K to provide the information set forth herein, which was not determined at the time of the Original Report.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2011, the Board of Directors of the Company approved the appointment of Ms. Carter to the Audit and Finance Committees of the Board of Directors, effective following the annual meeting of shareholders on January 26, 2012, subject to her election by shareholders.
