Item 1.01. Entry into a Material Definitive Agreement
On February 5, 2014, Idera Pharmaceuticals, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Piper Jaffray & Co. and Cowen and Company, LLC, related to an underwritten offering of 6,841,250 shares of the Companys common stock, par value $0.001 per share (the Common Stock), and warrants to purchase up to an aggregate of 2,158,750 shares of Common Stock (the Pre-Funded Warrants, and together with the Common Stock, the Securities). The Pre-Funded Warrants will be exercisable at an exercise price of $0.01 per share and will expire seven years from the date of issuance. The public offering price for the Common Stock is $4.00 per share and for the Pre-Funded Warrants is $3.99 per Pre-Funded Warrant, which is the per share public offering price for the Common Stock less the $0.01 per share exercise price. The Company expects to receive gross proceeds of approximately $36.0 million from the sale of the Securities, before deducting the underwriting discounts and commissions and other estimated offering expenses payable by it and excluding the proceeds, if any, from the exercise of the Pre-Funded Warrants. The Company has also granted to the underwriters participating in the sale of the Securities a 30-day option to purchase up to an additional 1,026,188 shares of Common Stock to cover over-allotments, if any.
The Securities will be issued pursuant to a registration statement on Form S-3 that the Company filed with the Securities and Exchange Commission, which became effective on September 18, 2013 (File No. 333-191073). The Company expects that the closing of the sale of the Securities will take place on February 10, 2014, subject to the satisfaction of customary closing conditions.

A copy of the form of Pre-Funded Warrant is attached as Exhibit 4.1 and is incorporated herein by reference.
