* On October 17, 2014, pursuant to the Agreement and Plan of Merger dated as of May 5, 2014, by and among SP Bancorp, Inc., a Maryland corporation (the “Company”), Green Bancorp, Inc., a Texas corporation (“Parent”) and Searchlight Merger Sub Corp., a Maryland corporation and wholly owned subsidiary of Parent (“Merger Sub”), Merger Sub merged with and into the Company, with the Company continuing as the surviving corporation and a wholly owned subsidiary of Parent.
