Item 4.01. Changes in Registrant’s Certifying Accountant.

The Audit Committee (the “Audit Committee”) of the Board of Directors of NeoGenomics, Inc. (the “Company”) has completed a competitive process to review the appointment of the Company’s independent registered public accounting firm for the 2014 fiscal year. As a result of this process, effective November 12, 2014 (the “Engagement Date”), the Company engaged Crowe Horwath LLP (“Crowe”) as the Company’s independent registered public accounting firm.

(b) Engagement of Certifying Accountant

In connection with the Audit Committee’s approval as described herein above, the Company formally engaged Crowe as the Company’s independent public accountant on the Engagement Date.

During the years ended December 31, 2013 and December 31, 2012, and during the subsequent interim period through the date of this Report, the Company did not consult with Crowe regarding (i) the application of accounting principles to a specified transaction, either completed or proposed, (ii) the type of audit opinion that might be rendered on the Company’s financial statements by Crowe, in either case where written or oral advice provided by Crowe would be an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issues or (iii) any other matter that was the subject of a disagreement between us and our former auditor or was a reportable event (as described in Items 304(a)(1)(iv) or Item 304(a)(1)(v) of Regulation S-K, respectively).
