Item 5.02b                           Departure of Directors; Election of Directors
 
On December 3, 2008 Paul R. Butrus informed our Board of Directors that he intended to resign as a Director before the end of 2008. Our Board has accepted Mr. Butrus’ resignation with an effective date of December 31, 2008. Mr. Butrus’ resignation is for personal reasons and was not a result of a disagreement with management regarding the Company's operations, policies, practices or otherwise.
