Item 1.01 Entry into a Material Definitive Agreement

On July 19, 2006, Nalco Company (the “Company”), a subsidiary of Nalco Holding Company, entered into a second Consulting Agreement with John L. Gigerich to supervise the Company’s information technology, customer service activities and its business reorganization project, for a period of up to two and one-half years. Mr. Gigerich will have the consulting title of Vice President, Administration. The Consulting Agreement is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
