Item 8.01 Other Events.


On November 29, 2005, we issued a press release announcing that our Coltec subsidiary completed the redemption of all of its outstanding Term Income Deferrable Equity Securities ("TIDES") on November 28, 2005. The TIDES not already owned by Coltec were redeemed for cash of $145 million, plus accrued interest. A copy of such press release is included as Exhibit 99.1 hereto.
