Item 8.01 Other Events.

On March 3, 2006, Affiliated Computer Services, Inc., (the "Company") received notice from the Securities and Exchange Commission (the "Commission") that it is conducting an informal investigation into certain stock option grants made by the Company from October 1998 through March 2005. The Company intends to respond to the Commission’s information request and cooperate in the informal investigation. The Company was advised in the Commission’s notice that the Commission’s request should not be construed as an indication by the Commission or its staff that any violations of law have occurred; and nor should the request be considered an adverse reflection upon any person, entity or security.
