This Registration Statement on Form S-8 is filed by Bio-Techne Corporation (the “Company” or the “Registrant”) to register 900,000 shares of its common stock, par value $0.01 per share, for issuance under the Bio-Techne Corporation Second Amended and Restated 2010 Equity Incentive Plan, which common stock is in addition to the 3,000,000 shares of common stock registered on the Company's Registration Statement on Form S-8 filed on November 12, 2010 (File No. 333-170576), the 800,000 shares of common stock registered on the Company's Registration Statement on Form S-8 filed on October 30, 2015 (File No. 333-207710), and the 2,648,000 shares of common stock registered on the Company’s Registration Statement on Form S-8 filed on October 26, 2017 (File No. 333-221143 (collectively, the “Prior Registration Statements”). This Registration Statement relates to securities of the same class as that to which the Prior Registration Statements relate and is submitted in accordance with General Instruction E to Form S-8 regarding Registration of Additional Securities.
