Item 1.01  ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
 
Titan Tire Corporation of Bryan, a subsidiary of Titan International, Inc. (the Company) entered into an asset purchase agreement with Continental Tire North America, Inc. (CTNA) to purchase CTNA’s off-the-road (OTR) tire facility of in Bryan, Ohio. The agreement was reached on July 31, 2006. See asset purchase agreement dated as of July 31, 2006, filed as exhibit 10.
