On October 15, 2002, Aether Systems, Inc. (the "Company") issued a press release with respect to its offer to purchase for cash, at prices determined by a "Modified Dutch Auction" procedure within the purchase price range of $700 to $750 per $1,000 principal amount, the Company's 6% Convertible Subordinated Notes due 2005 (the "Notes") up to a maximum aggregate principal amount of $100 million, or approximately 48% of the outstanding principal amount of the Notes. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
