EXPLANATORY NOTE
     Applied Signal Technology, Inc. (the “Company”) filed a Registration Statement on Form S-8 (No 333-159824) (the “Registration Statement”) with the Securities and Exchange Commission on June 8, 2009. On January 31, 2011, pursuant to that certain Agreement and Plan of Merger, dated as of December 18, 2010 by and among Raytheon Company, a Delaware corporation (“Parent”), RN Acquisition Company, a California corporation, and the Company, the Company became a wholly owned subsidiary of Parent. As a result of the transactions contemplated thereby, the Company has terminated all offerings of the Company’s securities pursuant to the Registration Statement.
     In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any securities that remain unsold at the termination of the offering, the Company hereby removes from registration all securities registered under the Registration Statement.
