Item 1.01   Entry Into a Material Definitive Agreement.

On March 31, 2010, Air Products and Chemicals, Inc. (“APCI”) entered into a credit agreement with JPMorgan Chase Bank, N.A., as administrative agent, and the other lenders named therein, providing for a term loan credit facility (the “Acquisition Facility”) to APCI in an aggregate amount of up to $6.724 billion upon the terms and conditions set forth therein.  The terms and conditions of the Acquisition Facility are summarized in Amendment No. 3 to the Schedule TO filed by APCI and Air Products Distribution, Inc. with the SEC on April 1, 2010, which filing is hereby incorporated herein by reference.  A copy of the Acquisition Facility is filed as an exhibit to Amendment No. 3 to the Schedule TO.
