This Amendment No. 43 to the Tender Offer Statement on Schedule TO amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on February 11, 2010 (together with any amendments and supplements thereto, the “Schedule TO”) by Air Products and Chemicals, Inc., a Delaware corporation (“Air Products”), and Air Products Distribution, Inc. (the “Purchaser”), a Delaware corporation and a wholly owned subsidiary of Air Products.  The Schedule TO relates to the offer by the Purchaser to purchase all outstanding shares of common stock, par value $0.01 per share (together with the associated preferred stock purchase rights, the “Shares”), of Airgas, Inc., a Delaware corporation (“Airgas”), at $65.50 per Share, net to the seller in cash, without interest and less any required withholding taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated February 11, 2010 (together with any amendments and supplements thereto, the “Offer to Purchase”), and in the related Letter of Transmittal (which, together with any amendments and supplements thereto, collectively constitute the “Offer”).

Item 5 of the Schedule TO is hereby amended and supplemented as follows:
 
On the morning of Friday, October 29, 2010, John McGlade, Air Products’ Chairman, President and Chief Executive Officer, placed a call to John van Roden, Airgas’s Chairman.  Mr. van Roden returned Mr. McGlade’s call later that afternoon.  Mr. McGlade emphasized to Mr. van Roden the points made in the letter he sent to Mr. van Roden earlier that day.  Mr. van Roden stated that he would discuss Air Products’ letter with the Airgas Board.  The text of Air Products’ letter to Airgas was filed with the SEC on October 29, 2010 as Exhibit (a)(5)(lxx) to Air Products’ Schedule TO.

On the morning of Tuesday, November 2, 2010, Mr. van Roden called Mr. McGlade. Mr. van Roden alerted Mr. McGlade that Airgas would be sending him a letter that morning and that the Airgas Board was willing to have a meeting with Air Products without pre-conditions.  Shortly thereafter, Airgas sent the following letter to Mr. McGlade:

Dear Mr. McGlade:

We have received your letter dated October 29th and are currently prepared to meet with you if there is a reasonable opportunity to obtain an appropriate value for the Airgas shareholders.

In our last letter, we indicated that our board of directors was of the unanimous view that the value of Airgas in any sale is meaningfully in excess of $70 per share.  To provide greater clarity, the board has unanimously concluded that it believes that the value of Airgas in a sale is at least $78 per share, in light of our view of relevant valuation metrics.

We would like to meet with you to provide our perspective on the value of Airgas and are prepared to do so at any time.

Mr. McGlade called Mr. van Roden on the afternoon of November 2 to arrange the details for the meeting and to alert Mr. van Roden that Air Products would be sending him a reply letter.  The text of Air Products’ reply letter, which was sent to Airgas on the afternoon of November 2, was filed with the SEC on Schedule 14A on November 2, 2010 and is reproduced below:

Thank you for your call.  We look forward to meeting in person.  We do not believe $78 per share is a realistic valuation for Airgas, nor is it anywhere near what we are prepared to pay for Airgas on behalf of the Air Products shareholders.  Our valuation metrics demonstrate a value meaningfully below $70 per share.  Nevertheless, we believe a meeting of principals is in the best interests of both companies.
